1. Acceptance of Terms

By accessing and using AIOBI's services, including our AI platform (aiobi.ai), white-label software solutions, and related services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms apply to all users of our services, including visitors, registered users, and subscribers to our various subscription plans (Starter, Professional, Enterprise, and Custom).

2. Definitions

• "Services" refers to all AIOBI products, platforms, and services, including but not limited to the AI Platform, HR Management System, Inventory Management, Newsletter Management, and other software solutions.
• "User" means any individual or entity that accesses or uses our Services.
• "Subscription" refers to the paid access to our Services under one of our pricing plans.
• "Credits" refers to the usage-based currency used within our platform for accessing AI models and features.
• "White-Label Products" refers to our software solutions that can be rebranded by subscribers.

3. Account Registration and Security

To access certain features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account credentials
• Immediately notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

4. Subscription Plans and Billing

AIOBI offers multiple subscription tiers with different features and credit allocations:

• Starter Plan (€89/month) - Basic features for individuals and small teams
• Professional Plan (€189/month) - Advanced features for growing businesses
• Enterprise Plan (€489/month) - Full features for large organizations
• Custom Plan (€699+/month) - Tailored solutions for specific needs

Yearly subscriptions receive a 25% discount. All subscriptions automatically renew unless cancelled before the end of the current billing period.

Credits are allocated monthly and do not roll over to the next billing period unless specified in your plan.

5. Acceptable Use Policy

You agree not to use our Services to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Distribute malware, viruses, or harmful code
• Engage in unauthorized access to systems or data
• Generate content that is illegal, harmful, threatening, abusive, or discriminatory
• Circumvent usage limits, credits, or subscription restrictions
• Resell or redistribute Services without proper authorization

6. Intellectual Property

All intellectual property rights in the Services, including software, design, trademarks, and content, belong to AIOBI or its licensors.

White-Label Rights: Subscribers to eligible plans may rebrand certain products for their own use or distribution, subject to the terms of their subscription agreement.

User Content: You retain ownership of content you create using our Services. By using our AI tools, you grant us a license to process your inputs to provide the Services.

7. AI Services and Generated Content

Our AI Platform provides access to various AI models for text, image, and video generation. You acknowledge that:

• AI-generated content may not always be accurate, complete, or appropriate
• You are responsible for reviewing and using AI-generated content appropriately
• We do not guarantee the availability or performance of any specific AI model
• Usage is subject to the policies of underlying AI model providers

8. Limitation of Liability

To the maximum extent permitted by law, AIOBI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our Services.

Our total liability for any claim arising from these Terms or your use of the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your access immediately if:

• You breach these Terms of Service
• Your payment method fails and is not resolved within a reasonable time
• We are required to do so by law
• We decide to discontinue the Services (with reasonable notice)

Upon termination, your right to access the Services will immediately cease. You may request a data export within 30 days of termination.

10. Governing Law and Disputes

These Terms shall be governed by the laws of Portugal and the European Union. Any disputes shall be resolved through the courts of Lisbon, Portugal, unless otherwise required by applicable consumer protection laws in your jurisdiction.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by email or through a notice on our website. Your continued use of the Services after changes take effect constitutes acceptance of the new Terms.
